End User License Agreement

This End User License Agreement (“Agreement” or “EULA”) is a legal agreement between you (“Licensee” or “you”) and Kuatsu, operated by Maximilian Krause (“Licensor,” “we,” or “us”), for the use of the Consul macOS application (the “Software”).

By installing or using the Software, you agree to the terms of this Agreement. If you do not agree, do not install or use the Software.

1. Grant of License

Subject to your compliance with this Agreement and payment of the applicable license fee, Licensor grants you a perpetual, non-exclusive license to install and use the Software on the number of macOS devices specified by your license, as determined by your original purchase and any additional device seats you may acquire through official channels.

You may transfer your license to another person or entity by unlinking your devices through the License Manager and contacting us to reissue the license.

“Perpetual” means the license to use the version of the Software current at the time your update entitlement expires does not terminate upon expiration of the update entitlement. See Section 4 for details on update entitlement.

2. License Restrictions

You may not:

  • Copy, reproduce, redistribute, sell, rent, lease, sublicense, or otherwise transfer the Software or your license to a third party, except as expressly permitted by Section 1.
  • Reverse engineer, disassemble, decompile, or attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law.
  • Modify, adapt, translate, or create derivative works based on the Software.
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Software.
  • Use the Software in any manner that violates applicable law or infringes the rights of any third party.

3. Device Limits and Activation

Each device on which you activate the Software is identified by a unique hardware identifier provided by macOS. Activation is recorded against your license key to enforce the device limit for your plan.

If you replace a device, you may deactivate the old device through the License Manager at getconsul.app/license, which frees an activation slot for the replacement device. We reserve the right to limit the number of deactivation requests in a given period to prevent abuse.

4. Update Entitlement

Your license includes one (1) year of Software updates from the date of purchase (“Update Entitlement Period”). During this period, you will receive all updates to the Software at no additional charge.

After the Update Entitlement Period expires, the Software continues to function but will no longer receive updates, including security patches. You may purchase a renewal to receive another year of updates. A renewal does not extend the perpetual license — it is a separate purchase of a new Update Entitlement Period.

5. License Validation

The Software periodically validates your license against our licensing server. If the Software cannot reach the licensing server, a grace period is provided before license enforcement takes effect.

An internet connection is required for initial activation and periodic re-validation. The Software will not function in perpetual offline environments without periodic connectivity.

6. Free Trial

You may use the Software for a 14-day free trial period with full functionality. The trial is limited to one trial per machine, enforced by hardware identifier. No license purchase is required during the trial.

The trial is provided “as is” without any warranties. Licensor may modify or discontinue the trial offer at any time. Upon trial expiration, a license purchase is required to continue using the Software.

7. Full Disk Access and File Modification

The Software requires Full Disk Access permissions on macOS in order to monitor file system events in the folders you configure. Without Full Disk Access, the Software cannot function as intended.

The core purpose of the Software is to modify files on your disk by converting their format. You acknowledge and agree that:

  • You are solely responsible for maintaining current backups of all files in folders monitored by the Software.
  • File conversion is a destructive operation. The original file is replaced by the converted file. While the Software includes an undo mechanism, this mechanism does not constitute a substitute for a proper backup strategy.
  • Licensor is not liable for any data loss, file corruption, unintended deletion, or unintended modification of files arising from your use of the Software, regardless of cause.
  • You should exercise care when configuring monitored folders and should not enable monitoring on directories containing irreplaceable files without first establishing a backup.

8. Third-Party Components

The Software bundles the following third-party tools. Their licenses are independent of this Agreement and are reproduced in the Software's acknowledgments:

  • FFmpeg — used for video and audio conversion. FFmpeg is distributed under the GNU Lesser General Public License (LGPL) v2.1 or later, with certain components under the GNU General Public License (GPL) v2 or later. Source code and license information are available at ffmpeg.org.
  • libmobi — used for ebook format conversion. libmobi is distributed under the GNU Lesser General Public License (LGPL) v3.0 or later.
  • pandoc — used for document format conversion. pandoc is distributed under the GNU General Public License (GPL) v2.0 or later. Source code and license information are available at github.com/jgm/pandoc.
  • pdf2docx — used for PDF to DOCX conversion. pdf2docx is distributed under the GNU Affero General Public License (AGPL) v3.0.

The inclusion of these third-party components does not affect the proprietary nature of the Software itself. Licensor's compliance with the applicable open-source licenses does not grant you any additional rights to the Software beyond those set out in this Agreement.

9. Data Collection and Privacy

The Software collects limited technical information necessary for license validation and update delivery. This includes your hardware UUID (for device identification) and your license key. This data is processed by Licensor solely for the purpose of providing the Software's licensing and update functionality.

10. Intellectual Property

The Software, including all associated code, design, interfaces, algorithms, and documentation, is and remains the exclusive intellectual property of Kuatsu / Maximilian Krause and is protected by applicable copyright and other intellectual property laws. This Agreement does not convey to you any title or ownership interest in the Software; it grants only the limited usage rights expressly set forth herein.

11. Termination

This Agreement is effective from the date you first install or use the Software and continues until terminated. Your rights under this Agreement terminate automatically, without notice, if you breach any term of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies in your possession or control.

Termination for breach does not entitle you to any refund. Sections 2, 7, 9, 10, 12, and 13 survive termination of this Agreement.

12. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Software is provided “as is” and “as available,” without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. Licensor does not warrant that the Software will be uninterrupted, error-free, or free of defects, or that any defects will be corrected.

Where applicable law does not allow the exclusion of implied warranties, those warranties are limited to the minimum required by law.

13. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Licensor be liable for any indirect, incidental, special, consequential, or exemplary damages arising out of or related to this Agreement or your use of the Software, including but not limited to loss of data, loss of profits, business interruption, or cost of substitute goods or services, even if Licensor has been advised of the possibility of such damages.

Licensor's total cumulative liability for any claims arising under or related to this Agreement shall not exceed the license fee you paid for the Software in the twelve (12) months preceding the claim.

Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be excluded or limited under applicable law, including mandatory consumer protection rights.

14. Governing Law

This Agreement is governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding its conflict-of-law provisions. The application of the UN Convention on Contracts for the International Sale of Goods (CISG) is excluded. The exclusive place of jurisdiction is Frankfurt am Main, Germany, to the extent permitted by applicable law. Consumers resident in the European Union retain the right to bring proceedings before the courts of their country of habitual residence.

15. Severability and Entire Agreement

If any provision of this Agreement is held to be invalid or unenforceable, that provision will be reformed to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

This Agreement, together with the Terms of Service available at getconsul.app/terms, constitutes the entire agreement between you and Licensor regarding the Software and supersedes all prior or contemporaneous understandings, whether written or oral, relating to its subject matter.
