Terms of Service

1. Acceptance of Terms

By downloading, installing, or using Consul (the “Software”), or by accessing the website at getconsul.app (the “Site”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Software or the Site.

These Terms apply to all visitors, users, and purchasers. They are entered into between you and Kuatsu, operated by Maximilian Krause (“we,” “us,” or “our”).

2. Description of the Software

Consul is a macOS menu bar application that automatically converts files when their file extension is changed. For example, renaming a file from photo.heic to photo.jpg triggers an automatic format conversion. The Software monitors designated folders and performs conversions using bundled third-party tools.

The Software requires macOS 14 or later and Full Disk Access permissions to function. Because the Software monitors the file system and modifies files as its core operation, granting Full Disk Access is a prerequisite for use.

3. License

Your use of the Software is governed by the End User License Agreement (“EULA”), available at getconsul.app/eula. The EULA is incorporated into these Terms by reference. In the event of a conflict between these Terms and the EULA regarding the Software itself, the EULA controls.

4. Purchases and Payments

The Software is sold as a perpetual license under two plans:

  • Single: $19 USD — one device, one year of updates included.
  • Pro: $29 USD — up to three devices, one year of updates included.

Both plans are one-time purchases, not subscriptions. After the one-year update entitlement expires, the Software continues to function on any version installed during the entitlement period.

Through the License Manager at getconsul.app/license, you may purchase additional device seats ($9 USD per seat) or renew your update entitlement ($9 USD per additional year). These are one-time purchases, not subscriptions.

Payments are processed by Stripe. By completing a purchase, you agree to Stripe's terms of service. We do not store your payment card information. All prices are in United States Dollars and exclude any applicable taxes, which may be added at checkout depending on your jurisdiction.

License keys are delivered electronically immediately upon successful payment. You are responsible for keeping your license key secure.

5. Free Trial

Consul may be used free of charge for a 14-day trial period with full functionality and no feature limitations. The trial is limited to one trial per machine, tracked by hardware identifier. At the end of the trial period, a license purchase is required to continue using the Software.

The trial is provided “as is” without any warranties. We reserve the right to modify or discontinue the trial offer at any time without notice.

6. Refund Policy

Consul is a digital product that is delivered immediately upon purchase. At checkout, you are asked to consent to the immediate delivery of the digital content. By providing this consent, you explicitly acknowledge that you waive your right of withdrawal under Article 16(m) of the EU Consumer Rights Directive (Directive 2011/83/EU) and Section 356(5) of the German Civil Code (BGB).

Accordingly, no refunds are offered once the license key has been delivered. We encourage you to make full use of the 14-day free trial before purchasing.

7. Intellectual Property

The Software, the Site, and all related content — including but not limited to source code, design, graphics, logos, and documentation — are the intellectual property of Kuatsu / Maximilian Krause and are protected by applicable copyright, trademark, and other intellectual property laws.

Purchasing a license grants you the right to use the Software as described in the EULA. It does not transfer ownership of the Software or any intellectual property rights to you.

If you provide us with feedback, suggestions, or ideas regarding the Software, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate that feedback in any way without any obligation to you.

8. File Modification and Data Responsibility

The core function of Consul is to modify files on your disk by converting their format. You acknowledge and agree that:

  • You are solely responsible for maintaining current backups of any files that may be processed by the Software.
  • We are not liable for any data loss, file corruption, or unintended modifications resulting from the use of the Software, whether caused by a bug, an unexpected interaction with your file system, or any other reason.
  • You should configure the Software's watched folders carefully and review the app's settings before enabling monitoring on directories containing irreplaceable files.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Kuatsu or Maximilian Krause be liable for any indirect, incidental, special, exemplary, or consequential damages, including but not limited to loss of data, loss of profits, loss of business, or interruption of business, arising out of or related to your use of or inability to use the Software or the Site, even if we have been advised of the possibility of such damages.

In any case, our total cumulative liability to you for any claims arising under or related to these Terms shall not exceed the amount you paid for your license in the twelve months preceding the claim.

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

10. Disclaimer of Warranties

The Software and the Site are provided “as is” and “as available,” without warranty of any kind. To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Software will be error-free, that defects will be corrected, or that the Software or the servers that make it available are free of viruses or other harmful components.

11. Termination

These Terms remain in effect as long as you use the Software or the Site. Your rights under these Terms terminate automatically if you breach any provision of these Terms or the EULA. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

We reserve the right to suspend or discontinue the Site, the licensing service, or any part thereof at any time. Discontinuation of the licensing service will not affect previously activated perpetual licenses during their update entitlement period, but online license validation may be affected.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding its conflict-of-law provisions. The application of the UN Convention on Contracts for the International Sale of Goods (CISG) is excluded.

The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms shall be Frankfurt am Main, Germany, to the extent permitted by applicable law. Consumers who are resident in the European Union may also bring proceedings in the courts of their country of residence.

The European Commission provides a platform for online dispute resolution (ODR): https://ec.europa.eu/consumers/odr. We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last updated” date at the top of this page. Continued use of the Software or the Site after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Software and the Site.
